Welcome to Auxra (the words “we”, “us”, and “our” refer to Auxra). Auxra operates this online store and website, including all related information, content, features, tools, products and services (collectively, the “Services”) in order to provide you with a curated shopping experience. Auxra is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the “Terms”) — together with any policies referenced herein — describe your rights and responsibilities when you use the Services. By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, do not use or access our Services.

Section 1 — Access & Account

By agreeing to these Terms you represent that you are at least the age of majority in your state or province of residence and that you may lawfully enter into and form contracts. You are responsible for any minor dependents who use the Services on devices you own or manage.

To use the Services (including browsing or purchasing), you may need to provide certain information such as your email, billing, payment and shipping details. You represent and warrant that all information you provide is accurate, current and complete and that you have the right to provide such information. You are solely responsible for maintaining the secrecy of your account credentials and for all activity under your account.

We do not guarantee that any product will meet your expectations. When you place an order you make an offer to purchase. Auxra may accept or decline your order at our discretion. Your order is not accepted until we confirm acceptance. We must successfully process payment before accepting an order. Please review your order carefully — cancellations may not be possible after acceptance. If we change or cancel your order we will attempt to notify you via the email, billing address and/or phone number provided at checkout.

All purchases are subject to our Refund & Return Policy. You represent that purchases are for personal or household use and not for resale.

Section 4 — Prices & Billing

Prices, discounts and promotions may change without notice. The price charged is the price in effect at the time you place your order and appears in your order confirmation. Unless stated otherwise, posted prices do not include taxes, shipping, handling, customs or import charges. You agree to provide accurate payment and billing information and to promptly update such information when it changes. You represent and warrant that you are authorized to use the payment method you provide.

Section 5 — Shipping & Delivery

Shipping times are estimates only and not guaranteed. Auxra is not liable for carrier or customs delays or other events outside of our control. Once we hand a package to the carrier, title and risk of loss pass to you (except as otherwise required by law).

Section 6 — Intellectual Property

All content on the Services — including text, images, graphics, logos and layout — is owned by Auxra, its affiliates or licensors and is protected by intellectual property laws. You may use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. Auxra’s trademarks, logos and trade dress may not be used without our permission.

Section 7 — Optional Tools

We may provide access to third-party tools or integrations. These are provided “as is” and we do not endorse, control, or assume liability for them. Use optional third-party tools at your own risk and according to the third party’s terms.

Section 8 — Third-Party Links

Our Services may link to third-party websites. We are not responsible for the content, accuracy or practices of those sites. Any transaction with a third-party site is between you and that third party; review their policies before engaging with them.

Section 9 — Relationship with Shopify

Note: Auxra is powered by Shopify. While Shopify provides the platform that enables our online store, all purchases you make are made directly with Auxra. Shopify is not responsible for any transactions between you and Auxra. The above statement accurately characterizes Shopify’s relationship with Auxra.

Section 10 — Privacy Policy

Our Privacy Policy governs how we collect and use your personal information. By using the Services you acknowledge that you have read and agree to our Privacy Policy.

Section 11 — Feedback

If you submit feedback (ideas, suggestions, reviews, etc.), you grant Auxra a perpetual, worldwide, royalty-free license to use and adapt that feedback for any purpose. You represent that you own the feedback or have the right to provide it.

Section 12 — Errors, Inaccuracies & Omissions

The Services may contain typographical errors or inaccuracies. We reserve the right to correct errors and to cancel or refuse orders if information is inaccurate.

You may use the Services only for lawful purposes. Prohibited conduct includes (but is not limited to) unlawful activity, harassment, uploading malware, scraping or automated data collection, impersonation, sending spam, or infringing intellectual property rights. We may terminate or suspend your access to the Services at any time without notice. Termination does not limit Auxra’s right to pursue other remedies available under law. Sections that by their nature should survive termination (such as Intellectual Property, Disclaimer, Indemnification, Governing Law) will remain in effect.

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMER OF CERTAIN WARRANTIES; THUS SOME OR ALL OF THIS DISCLAIMER MAY NOT APPLY TO YOU.

Section 16 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUXRA AND ITS AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

Section 17 — Indemnification

You agree to indemnify and hold harmless Auxra and its partners from any claims, losses, liabilities, damages, costs or expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your use of the Services.

Section 18 — Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

Section 19 — Waiver; Entire Agreement

These Terms, together with any policies posted on the Site, constitute the entire agreement between you and Auxra regarding the Services. Failure by Auxra to enforce any right does not constitute a waiver of that right.

Section 20 — Assignment

You may not assign your rights under these Terms without our prior written consent. Auxra may assign or transfer its rights and obligations without consent.

Section 21 — Governing Law

These Terms are governed by and construed in accordance with the laws and federal and state courts of the State of Colorado (USA). You and Auxra consent to the personal jurisdiction and venue of such courts.

Headings are for convenience and do not affect the interpretation of these Terms.

Section 23 — Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top will reflect the most recent changes. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
